Unlike the limited liability company (SRL), an S.A. requires a higher minimum share capital and stricter corporate governance, offering in return greater credibility with partners, banks, and investors. Overview

- Preliminary analysis and advice on choosing the appropriate legal form, S.A. or SRL, based on your business objectives and specifics.
- Establishing the share capital and shareholder structure, including the allocation of cash and in kind contributions.
- Drafting the articles of association and related documents, establishing the management system, one tier (board of directors) or two tier (executive board and supervisory board).
- Notarial authentication of the articles of association, mandatory in the case of in kind contributions or incorporation by public subscription.
- Opening the share capital bank account and assistance with paying in contributions, in accordance with the law, at least 30% of cash contributions at incorporation, with the balance due within 12 months.

- Preparing the file and representation before the Trade Registry, through to obtaining the certificate of registration.
