Overview
Every company registered in Romania must have a registered office declared with the Trade Register, and the proof of that office is valid only for a limited period. Once it lapses, the company has no valid office and no further amendment can be recorded until the position is corrected. For directors living outside Romania, this is the single most common cause of an administrative standstill.
We host your company's registered office at our chambers under a legal assistance agreement concluded for twelve months, and we prepare the complete Trade Register file. The document set is the same in every matter: the updated articles of association, the shareholders' resolution or sole shareholder decision, the sworn declaration on the company's operations, and the office agreement itself. Everything is drafted in Romanian and English within the same document, so a shareholder who does not read Romanian signs a text he understands.
The service includes tracking the deadline. Forty-five days before the proof of office expires we send you a notice and start the procedure, so you never have to hold the date yourself. That is the practical difference from a plain correspondence address: the deadline sits with the firm, not with the client.
The renewal is also the right moment to clear any other pending amendments in the same filing: bringing share capital up to the statutory minimum, updating shareholder and director identification data, adding or changing NACE activity codes, opening a working point. One filing means one set of signatures and one publication fee.
Official mail received at the office, including correspondence from the tax authority and the Trade Register, is collected, scanned and forwarded the same working day, with the originals kept available at our chambers. We have been hosting companies owned by non-residents for more than four years, and the files are handled by lawyers rather than by a secretarial service.
